Proposed Amendment to the Bylaws

To amend the Society's Bylaws so that resolutions from chapters must be submitted
150 days in advance of the Assembly of Delegates.
Bylaw III, Section 2F (iv) and (v)
Explanatory note: This proposed change would move the deadline for receipt of
substantive resolutions from chapters, and appointment of the Committee on Resolutions,
from 90 to 150 days in advance of the Assembly of Delegates, but would not change the
requirement for these resolutions to be forwarded to chapters 60 days in advance of the
Assembly. If approved, the 90-day period between receipt of a resolution and its
forwarding to chapters would be used by the Committee on Resolutions to clarify the
resolution with the chapter (if necessary) and to obtain explanatory material from the
chapter, and from an appropriate committee within the Society, in regard to the
resolution. The additional time to prepare this information hopefully will allow chapter
delegates to be informed better about the proposed resolution and with sufficient
information to discuss chapter resolutions within the Assembly of Delegates. If approved,
this Bylaw change would require chapters to submit any substantive resolutions by early
June of each year for a November annual meeting and would become effective for the 2001
annual meeting.

(iv) Limitations on Resolutions. (a) No resolution, except those |

reported by official committees or those hereinafter defined, will be |
| 346 |
in order for consideration by an Assembly of Delegates unless |
| 347 |
having been presented first to the Committee on Resolutions. All |
| 348 |
proposed resolutions of a substantive nature, including motions, to |
| 349 |
be eligible for passage at an Assembly of Delegates, must have been |
| 350 |
submitted 90 150 days
prior to the convening of that Assembly of |
| 351 |
Delegates and circulated to the chapters 60 days in advance of the |
| 352 |
meeting. The Executive Director shall inform the chapters of the |
| 353 |
final dates for submission of proposed resolutions, and invite the |
| 354 |
chapters to make their submissions through the Executive Director. |

(b) Motions and resolutions of a substantive nature offered by the |
| 356 |
Board of Directors, or motions and resolutions merely expressing the |
| 357 |
sense of the Assembly, such as commemorative resolutions, are |
| 358 |
exempt from this provision. (c) Proposals concerning resolutions of |
| 359 |
a substantive nature may be considered by the Assembly of |
| 360 |
Delegates for inclusion on the agenda of the next Assembly of |
| 361 |
Delegates, and a majority vote of the current Assembly of Delegates |
| 362 |
on such a proposal shall require that it be placed on the agenda of the |
| 363 |
next Assembly. |

(v) The Committee on Resolutions. The President shall appoint |

Committee on Resolutions to consist of three members at least 90 |
| 366 |
150 days prior to the convening of an Assembly of Delegates. |
